Terms and Conditions

These Terms & Conditions govern your use of videomox.com (“Videomox”, “we”, “our”), a video editing service currently operated by its founder. By accessing or using our services, you agree to be bound by these Terms. Once incorporated, Videomox will be operated by the registered legal entity, and these Terms will apply to that entity.

Introduction

These Terms & Conditions (“Terms”) govern your use of Videomox’s video editing services.
By creating an account or using our service, you also agree to our Privacy Policy and Cookie Policy.

Definitions

For purposes of these Terms & Conditions:
- “Videomox”, “videomox.com”, “we”, “our”, or “us” refers to the videomox.com service currently operated by its founder. Once incorporated, these references will apply to the registered legal entity operating Videomox.
- “User”, “you”, or “your” refers to any individual accessing or using our services.

Effective Date / Last Updated

These Terms & Conditions are effective from the date stated at the top of this document. We may update or revise this policy from time to time to reflect changes in our practices, services, or legal requirements. The “Last Updated” date at the top of this page indicates the most recent revision. Your continued use of our services after any changes constitutes acceptance of the updated policy.

International Compliance

While Philippine law governs these Terms, we recognize that users may reside in other jurisdictions. Accordingly:

EU Residents (GDPR): If you are located in the European Union, you have rights under the General Data Protection Regulation, including rights to access, rectify, erase, restrict processing, and data portability. You may also object to certain processing activities.
California Residents (CCPA/CPRA): If you are a resident of California, you have rights under the California Consumer Privacy Act and California Privacy Rights Act, including the right to know what personal information we collect, the right to request deletion, and the right to opt out of the sale or sharing of personal information.
Other Jurisdictions: We will respect applicable consumer and data protection laws in the regions where our users reside, in addition to our obligations under Philippine law.

Eligibility

Our services are intended for individuals who are at least 13 years of age. By creating an account, you represent and warrant that you are 13 years of age or older. If you are under 18, you must have parental or guardian consent to use the service. We do not knowingly permit children under 13 to register for or use our services. If we discover that we have inadvertently collected personal information from a child under 13, we will delete such information promptly.

Beta Program Terms: Beta testers receive free access during beta, 6 months free after launch, priority feature voting (non-binding), priority support, and eligibility for lifetime discounts based on contribution level.

User Content

You must own or have rights to any content (eg. but not limited to: videos, images, audio, chart data) you upload. You are responsible for ensuring your content does not violate copyright or other laws. We may remove content that violates these Terms.
As part of our security‑by‑design approach, only active projects remain online. Dormant projects—meaning data not accessed or opened—are automatically deleted after the retention period set by your subscription (typically 15 or 30 days). Users should download any dormant project data they wish to keep before this period ends. Templates remain available for as long as your subscription is active.

Service Provision

We provide video editing services on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the reliability, availability, or suitability of the service for any particular purpose. We are not liable for data loss, service interruptions, or damages resulting from use of the service. We may update, modify, or discontinue the service at any time without prior notice.
Our service is not intended for storing, processing, or sharing sensitive business, company, or third‑party client data, including confidential projects, submissions, or proprietary information.

Limitation of Liability

To the maximum extent permitted by law, Videomox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the service. Our total liability for any claim shall not exceed the amount you paid to us, if any, for use of the service during the twelve (12) months preceding the claim. Videomox shall not be held responsible for any data breaches, hacks, or unauthorized access that may expose sensitive company or business information uploaded or shared through the service.

Disclaimer of Warranties

You acknowledge and agree that your use of the service is at your sole risk. The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Misuse

You agree not to misuse the service. Examples of misuse include, but are not limited to:
• Reverse-engineering, copying, reproducing, distributing, scraping, disrupting, or otherwise exploiting our service, its components, underlying technology, designs, branding, or any other intellectual property or proprietary content without our prior written consent
• Uploading or distributing unlawful or harmful content, including sexual exploitation, harassment, hate speech, or illegal materials.
• Engaging in fraudulent or criminal activities such as hacking, phishing, or identity theft.
We may investigate violations, suspend or terminate accounts, and cooperate with law enforcement authorities if misuse is detected. We also reserve the right to pursue legal remedies for serious or repeated violations.

Payments and Refunds

Subscriptions are billed monthly (or as otherwise specified).
Refunds are only provided where required by law.
You are responsible for maintaining accurate billing information.

Intellectual Property

Our software, platform, branding, layout, design elements, graphics, service structure, and all related materials remain the property of Videomox. You may not copy, reproduce, distribute, modify, or create derivative works from any part of our service without our prior written consent. Unauthorized use of our intellectual property may result in legal action.

Your uploaded content remains yours. By uploading, you grant us a limited license to process your content solely for the purpose of providing our services.

Termination

We reserve the right to suspend or terminate your account and access to the service at our sole discretion, without prior notice, if you violate these Terms or if we believe your use of the service may cause harm to us, other users, or third parties. Upon termination, all rights granted to you under these Terms will immediately cease.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles.
You agree that any disputes will be resolved exclusively in the courts of Makati City, Metro Manila, Philippines.
